The Contracts Specialist will prepare, review, and revise commercial contracts, such as services agreements, purchase and supply contracts, real property and facilities contracts, leases, energy services/utilities contracts, SaaS and other information technology contracts, market research and data contracts, transportation contracts, consulting agreements, and non-disclosure agreements.
Draft, review, revise, and finalize contracts (both independently and in collaboration with other Legal Department personnel).
Serve as a primary contact for clients and proactively manage contract matters and triage contracts during the intake process, including (a) initial review of contract request and related documents; (b) securing necessary information to handle contract request; and (c) determining next steps in contracting process.
Identify and provide applicable contract templates to clients and procurement personnel; assist clients with using and properly completing pre-approved contract templates; review completed and executed contract templates.
Assist attorneys during contract negotiations by documenting issues and agreed to language and preparing next contract draft.
Develop experience and knowledge with contract types the Contracts Specialist will regularly assist with, including knowledge of Constellationâs contract positions and rationale.
Assist with developing, maintaining, and updating standard contract templates and related playbooks.
Work with and manage outside counsel on contract matters.
Work with clients, Legal Department personnel and contracting parties on contract issues.
Advise and train clients on contract policy and process, including applicable approvals and signature authority.
Prepare contract guides and training materials for Legal Department staff and clients.
File appropriate electronic information (emails, documents, notes, contact information) in Legal Departmentâs matter management system, and coordinate with Legal Department staff to ensure input of all required information in this system.
Work on special projects and perform such other duties as may be assigned from time to time.
Four-year college degree or paralegal degree or certification
Four years of experience preferred,Â working with contracts in a corporate legal department, contracts department, procurement department, or law firm, including drafting, reviewing, and revising contracts
Strong written, analytical, and oral skills
Matter Management, Document Management, SharePoint, and/or workflow tool experience a major plus
