We are seeking a Corporate Governance Knowledge and Innovation Counsel. This position can be based in our Mountain View (preferred)/San Francisco (CA), Seattle (WA) or New York (NY) office with travel to the Mountain View office as needed.
Work with Corporate Governance Leaders (“CGL”), Practice Management and Knowledge & Innovation to create and implement strategic business plan(s), monitor business plan performance throughout the year and suggest proactive measures to achieve business plan priorities.
Serve as primary lead for writing and content generation, including internal and externally focused content, internal standard forms, creating a process for updating and managing standard forms, internal memoranda on practice legal issues, practice process checklists; and identifying work product precedents (exemplar documents).
Work with Marketing Communications to develop strategic editorial calendar for public-facing content, including blogs, annual surveys, white papers, reports and alerts, and public speaking engagements.
Work with other administrative departments to develop innovation roadmap to leverage technology, product ideas, and business models to create new ways for existing and prospective clients to benefit from our thought leadership and expertise.
Continuous review, development and improvement of core legal content for our Corporate Governance Practice, including standard forms and knowledgebase materials: Public Company Certificate of Incorporation and Bylaws, Poison Pill, Activist Settlement Agreement, Annual Governance Update Slides, Investor engagement/relations/stockholder proposal materials, and significant case law developments.
Work with Marketing to develop marketing decks, write/ghost-write client alerts, etc.
Act as Chief?of?Staff for the Corporate Governance Group.
Assist CGLs with preparing and providing regular reports on the strategy and performance of the Corporate Governance Group, and organize regular group meetings.
Assist client teams with Corporate Governance events.
Assist/train associates in production ofDefensive Measure materials, including Poison Pill materials, and improving governance-related proxy statement disclosure.

The ideal candidate will have a minimum 7 years' law firm experience or 5 years' experience in a senior legal position with primary responsibility for corporate governance matters. In addition, the candidate will have 10 years’ experience advising public companies with respect to securities disclosure and/or securities litigation, investor relations, board and corporate governance matters. Experience with board conflicts, CEO transitions, activist investors, investigations, proxy contests, complex conflicts?of?interests, corporate crises and similar events preferred.
