ShareholderActivism Defense J.P.Morgan advises clients globally on a wide range of strategic transactions,including mergers, acquisitions, divestitures, spin-offs, asset purchases anddispositions, joint ventures, corporate defense assignments, restructurings andreorganizations including advising clients on how to prepare for and respond toshareholder activism. The Shareholder Activism Defense business isa critical component of the firm's globally integrated investment bankingmodel.
TheRole Thesuccessful candidate will play a central role in advising clients with respectto preparing for and responding to shareholder activism as part of J.P.Morgan's shareholder activism defense team. The Associate'sresponsibilities will include but not be limited to the following:
Create, maintain and review complex materials and analysesrelating to shareholder activism and corporate governance, including but notlimited to analyses on shareholder activist hedge funds, individual shareholderactivists, annual meeting procedures including proxy contests, and corporatevulnerability to shareholder activism including structural vulnerabilities in acompany's charter and bylaws.
Manage day-to-day deal execution, interacting with seniordeal team members, client management teams, transaction counterparties andother advisors
Possess and acquire superior market knowledge relating todevelopments in domestic and international shareholder activism, governancebest practices, proxy advisory firms, and be able to clearly articulate thisknowledge to internal and external parties
Work independently, producing high quality deliverables suchas investor presentations, fight letters, Board materials and otherpresentation materials for use in shareholder activism defense engagements orstrategic client dialog
Leverage and coordinate the bank's resources on behalf ofthe client, including industry knowledge from partners in industry coveragegroups and expertise from product partners in debt and equity capital marketsand corporate finance advisory
At least 2 full years of experience in Capital Markets,Investment Banking or a Corporate Finance related role, law firm, proxy advisoror a corporate governance related firm. Experience in M&A, law or corporategovernance is highly preferred, but will consider candidates on a case-by-casebasis
Knowledge of corporate finance and accounting, as well asunderstanding of corporate charters, bylaws, and governance practices
Ability to comfortably interact with clients in aprofessional and mature manner
Outstanding ethics, integrity and judgment
Intellectual curiosity, strong work ethics and desire tolearn
Ability to work in a fast-paced environment, handlingmultiple projects with different deal teams
