Change Recruitment Groups Edinburgh based Investment Manager is looking to recruit a Senior Manager within their Corporate Secretarial and Governance Services area. The role will support the UK entities in their duties that will also include global locations such as the EU, China and South America.
The Group Governance Services Department is responsible for providing a company secretarial and governance service to the firm's corporate subsidiary Boards and their members and officers, and to other internal governance related committees and cross functional / department projects. This role will have 2 direct reports and will involve a mix of day to day delivery, attendance at board meetings and regular stakeholder management with senior contacts and appointed directors globally.
Responsibilities of the Senior Manager, Corporate Secretarial and Governance Services:
Deputising for the Head of Corporate Secretarial and Governance Services, assisting in the effective and efficient delivery of company secretarial-related services, the interpretation and implementation of the impact of changes in legislation and regulation and providing support in team management, projects and other areas as required.
Deputising for the Head of Corporate Secretarial and Governance Services including assisting with delivery of department's business plan.
Providing Board support and oversight of specific entities and other subsidiaries and business groups within the group of companies.
Responsibility for oversight and development of Radar reporting and impact analysis.
Responsibility for oversight and development of Governance Documentation team and associated documentation, processes and reporting
Assisting with oversight, reviewing and developing of team processes, systems controls, risk management, reporting, staff training and disaster recovery.
Assisting in the development and promotion of global corporate governance as the business continues to expand its geographical footprint into new jurisdictions.
Liaising with external advisors, authorities and stakeholders (internal and external).
Line management responsibility with a focus on developing the team.
Accountability for project work.
Background of the Senior Manager, Corporate Secretarial and Governance Services:
Ideally a Professional qualification in Legal, Accounting or Company Secretarial however experience is paramount
The individual should be professionally qualified (Company Secretarial / Legal / Accountancy qualification), preferably with a financial services background
Private company governance service provision
Experience in navigating periods of regulatory change in governance e.g. under MiFID II or SMCR (desirable)
PLC experience (desirable)
Ability to deliver high quality results in advance of deadlines with a proactive and positive approach is essential, as well as accuracy/attention to detail
Excellent written and verbal communication skills; able to communicate effectively with staff at all levels
Ability to make sound judgements and have strong analytical skills
Proven organisational and time management skills
Ability to work to deadlines whilst maintaining quality output
Detail and results orientated with ability to grasp the big picture
Self-starting and confident working independently, resilient with a 'can-do' approach
